OVERSEAS TEACHERS' NETWORK LIMITED ("OTN")
STANDARD TERMS AND CONDITIONS
BACKGROUND
OTN operates the Overseas Teachers' Network (the "Network"), an online club for registered users only designed specifically for:
- overseas teachers from the UK or residents of the UK who are interested in finding out more about teaching opportunities overseas; and
- recruitment officers from schools, colleges, Universities and education related organisations in the UK and around the world.
The Network gives Users access to information and news, allows them to share ideas and resources, enables them to make contact with other Users worldwide, gives them an idea of the jobs or candidates which might be available; and gives access to a video email facility unique to each User.
These terms and conditions apply to all matters relating to use of the Network by Users.
DEFINITIONS
In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meaning:
"Charges" means the charges payable by the User to OTN as set out in these Terms and Conditions, or as subsequently amended by OTN at its sole discretion and subsequently notified in writing to the User.
"Intellectual Property Rights" means all vested contingent and future intellectual property rights including but not limited to copyright, trademarks, service marks, design rights (whether registered or unregistered) patents, know-how, trade secrets, inventions, get up, database rights and renewals and extensions thereof existing in any part of the world whether known or not known.
"User" means any party which has registered as a member of the Network using the registration facility at the Website.
"Website" means the website at www.otn.org.uk, or such other website as OTN may subsequently nominate for its operation of the Network.
USE OF THE NETWORK
OTN grants to each User the right, while his or her membership is still valid and subsisting, to use the Network subject to the terms and conditions contained in these Terms and Conditions.
The User may use the Network only in accordance with express provisions contained in these Terms and Conditions. By accessing the Network, a User agrees to be bound by these Terms and Conditions.
These Terms and Conditions of use may be changed at any time by OTN, and the most recent version will be posted on the Website. Any User's continued access to the website following any such change will be construed as constituting that User's acceptance of the revised Terms and Conditions.
CHARGES AND TERMS OF PAYMENT
Charges for membership shall be payable as follows:
- Full individual membership - £9.99 monthly or £99 annually
- Full corporate membership - £499 annually, which gives a corporate license and up to 100 "Full Individuals Memberships"
In addition, a free membership is available.
DURATION
A User's Membership shall commence when the registration takes effect in accordance with the registration procedure specified on the Website and shall remain in force thereafter until it expires or is terminated in accordance with these Terms and Conditions.
Unless renewed, a membership shall automatically terminate upon the expiry of the period to which it relates. OTN also reserves the right to freeze access and suspend email accounts in the event of non-payment.
DISCLAIMER
While OTN has taken reasonable care in the preparation and publication of material contained on the Website for the benefit of Users of the Network, OTN nevertheless makes no representations or warranties as to the accuracy of any information contained on the Website.
OTN accepts no liability of any description arising from any of the following:
- Any posting of any unlawful, threatening, abusive, defamatory, obscene or indecent information or material of any kind.
- Any material which infringes the Intellectual Property Rights of any other person.
- Any technical inaccuracy or typographical error or other matter arising from the use of or viewing of this Website and its contents.
- Any content of any other site owned and operated by a third party to which a link appears on the Website.
- Any virus, worm, Trojan or other code with destructive properties transmitted through any email or video email downloaded through or transmitted via the Website.
- Website downtime.
- Following contact or arrangements made between members.
- Holiday Swap arrangements made between members.
PROPRIETARY RIGHTS
The Network and the Intellectual Property Rights of whatever nature in the Network are and shall remain the property of OTN. Users may not copy, reproduce, distribute, publish, create derivative works, save electronically, transmit or in any other way exploit for commercial gain any content of or information posted on the Network.
The User shall notify OTN immediately if the User becomes aware of any unauthorised use of the whole or any part of the Network by any person.
TERMINATION AND SUSPENSION
OTN may terminate a User's Membership or suspend the User's Membership for such period as OTN may, in its sole discretion, deem appropriate if it considers that the User has committed any serious breach of any provisions contained in the Terms and Conditions
Immediately upon the termination of the Membership, the User shall return to OTN any and all copies it has of downloaded information and OTN video mail.
USER'S OBLIGATIONS
The User shall not post or transmit information or material of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offence, give rise to any civil liability or otherwise violate any applicable law.
- Post or transmit any material of any kind which violates or infringes upon the rights of any other person including material which is an invasion of any privacy or publicity rights, to post or transmit information or material which is protected by copyright, trademark or any other proprietary right, or derivative work with respect thereto, which is protected by an Intellectual Property Right without first obtaining permission from the owner or the relevant right holder.
- Knowingly post or transmit any material of any kind which contains a virus, worm, Trojan or other harmful or destructive components.
- Download and/or distribute any file, information or material posted by any other User without the express permission of such other User.
- Provide false contact details or impersonate any other party.
In the event that OTN shall have a reasonable suspicion that any User is in breach of any of these conditions, OTN expressly reserves the right to pass such User's contact details and IP address to any agg--rieved third party, its agents or any appropriate law enforcement agency.
NO ASSIGNMENT OR SUB-CONTRACTING
The User's Membership is personal to that User or, in the case of corporate membership, the named Users and may not be assigned by such User without the prior written consent of the Overseas Teacher Network.
PROPER LAW AND JURISDICTION
All Memberships shall be subject to these Terms and Conditions, which are governed by English Law.
